END USER AGREEMENT

This End User License Agreement (“Agreement”) is a legally binding contract between you (either an individual or a single entity) and AgilizeIQ, LLC (“AgilizeIQ,” “Company,” “we,” “our,” or “us”), governing your use of our software applications, websites, integrations (including but not limited to LedgerLink, LaunchPad, NetSuite, Slack and Smartsheet templates and automations), and related services (collectively, the “Services”).

BY ACCESSING, INSTALLING, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS, DO NOT ACCESS OR USE THE SERVICES.

 

1. Grant of License

1.1 Subject to your compliance with this Agreement, AgilizeIQ hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services solely for your internal business purposes.

1.2 This license does not permit resale, redistribution, or use on behalf of third parties without our express written consent.

 

2. Ownership and Intellectual Property

2.1 The Services and all associated intellectual property rights are and shall remain the exclusive property of AgilizeIQ and its licensors.

2.2 You acknowledge and agree that you acquire no ownership rights in the Services by using them.

2.3 You may not remove, alter, or obscure any proprietary notices on the Services.

 

3. Restrictions

You shall not, directly or indirectly:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas of the Services;

  • Modify, adapt, translate, or create derivative works based on the Services;

  • Rent, lease, lend, sell, sublicense, or distribute the Services;

  • Use the Services for timesharing, service bureau, or hosting purposes;

  • Access the Services for purposes of monitoring availability, performance, or functionality, or for any benchmarking or competitive purposes;

  • Use the Services in any way that violates any applicable local, state, national, or international law or regulation.

 

4. Third-Party Services and Integrations

4.1 The Services may integrate with third-party software or services, including but not limited to Intuit QuickBooks, Smartsheet, Slack, Google Sheets, and Monday.com.

4.2 By using such integrations, you authorize AgilizeIQ to access and use relevant data solely for the purpose of delivering the Services.

4.3 You are responsible for complying with all applicable terms and conditions of such third-party services. AgilizeIQ makes no warranties regarding any third-party services.

 

5. Data Security and Privacy

5.1 AgilizeIQ employs industry-standard administrative, technical, and physical safeguards to protect your data.

5.2 We securely encrypt all client tokens and sensitive data using industry-standard encryption before storing them in our database. Your credentials are never exposed in plain text—even our team cannot view them directly.

5.3 You agree that we may collect and use technical data and related information, including but not limited to usage and diagnostic data, to improve our products and services.

5.5 HOWEVER, NO METHOD OF TRANSMISSION OVER THE INTERNET OR ELECTRONIC STORAGE IS 100% SECURE, AND WE CANNOT GUARANTEE ABSOLUTE SECURITY.

 

6. Term and Termination

6.1 This Agreement is effective until terminated.

6.2 You may terminate this Agreement at any time by discontinuing use of the Services.

6.3 AgilizeIQ may suspend or terminate your access to the Services at any time with or without notice for conduct that we believe violates this Agreement or is harmful to other users, third parties, or us.

6.4 Upon termination, all rights granted under this Agreement shall immediately cease, and you shall destroy all copies of the Services in your possession or control.

 

7. Disclaimers

7.1 THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. AGILIZEIQ EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND CONTINUOUS AVAILABILITY.

7.2 AGILIZEIQ DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT DEFECTS WILL BE CORRECTED.

 

8. Limitation of Liability

8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGILIZEIQ, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE.

8.2 AGILIZEIQ’S TOTAL LIABILITY UNDER THIS AGREEMENT FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL FEES PAID BY YOU TO AGILIZEIQ FOR THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

 

9. Indemnification

You agree to indemnify, defend, and hold harmless AgilizeIQ and its affiliates, officers, agents, employees, partners, and licensors from any claim, liability, loss, damage, cost, or expense (including attorneys’ fees) arising out of or related to your use of the Services, your violation of this Agreement, or your violation of any rights of a third party.

 

10. Export Compliance

The Services may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer the Services to any country or entity prohibited by applicable U.S. laws or regulations.

 

11. Governing Law and Dispute Resolution

11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.

11.2 Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in [Insert County/State], and you consent to the jurisdiction of such courts.

 

12. Entire Agreement

This Agreement constitutes the entire agreement between you and AgilizeIQ regarding your use of the Services and supersedes all prior or contemporaneous understandings, communications, or agreements, whether oral or written.

 

13. Modifications

We reserve the right to modify this Agreement at any time. We will notify you of any changes by posting the updated Agreement on our website. Continued use of the Services following the posting of changes constitutes your acceptance of those changes.
